Terms & Conditions – The UHNW Dealmaker Self-Study

By purchasing and/or participating in this online course or program (“Program”), you (“Participant” or “You”) agree to the following Terms & Conditions set forth by Vanessa Ho (“we,” “us,” or “Company”). Your payment through the online checkout portal constitutes a binding agreement to these terms, whether or not you have signed a separate agreement.

1. Payment & Commitment

By enrolling in the Program, whether through full payment or a payment plan, you agree to pay the total amount due as outlined at checkout.

If you choose a payment plan, you are committing to pay all scheduled instalments in full, regardless of your level of participation or completion. Missed or failed payments will result in restricted access to the Program. Vanessa Ho reserves the right to pursue collections or legal action for any outstanding balances.

2. No Refund Policy

All sales are final. Due to the digital and instant-access nature of this Program, no refunds will be issued under any circumstances, including but not limited to:

• Change of mind

• Scheduling conflicts

• Financial hardship

• Personal dissatisfaction

• Incomplete participation

• Lack of deal flow

• Lack of introductions

• Failure to close a deal

• Failure to receive commissions or compensation

• Failure to receive desired business, financial, or personal outcomes

By submitting payment, you acknowledge and agree to this strict no-refund policy in full.

3. Access & Duration

Upon confirmation of payment, you will receive access to The UHNW Dealmaker online course and any included course materials, templates, videos, worksheets, frameworks, or resources made available inside the Program.

Access is limited to the purchasing member only and may not be shared, transferred, resold, gifted, sublicensed, or assigned to another person.

This purchase is a one-time payment or payment plan for the stated course access. There are no recurring monthly charges unless expressly stated at checkout or agreed to in writing.

Unless otherwise stated at checkout or required by platform, business, legal, or technical changes, Self-Study course access is intended to be lifetime access for the life of the Program. “Lifetime access” means access for as long as the Program is actively hosted and made available by Vanessa Ho, and does not mean the lifetime of the purchaser.

4. Program Inclusions and Exclusions

This Offer includes access to The UHNW Dealmaker online course and any included course materials, templates, videos, worksheets, frameworks, or resources made available inside the Program.

This Offer does not include private 1:1 coaching, Telegram group coaching, WhatsApp advisory, unlimited deal review, guaranteed introductions, guaranteed access to Vanessa Ho’s private network, guaranteed deal matching, guaranteed buyers or sellers, guaranteed commissions, guaranteed funding, guaranteed closing of any transaction, legal advice, financial advice, investment advice, tax advice, brokerage services, transaction representation, done-for-you deal sourcing, done-for-you deal closing, or any regulated professional service unless expressly agreed in a separate written agreement.

5. Off-Market Opportunity Submission and Deal-Match Consideration

Participants may submit off-market opportunities, assets, buyer requests, seller requests, sourcing requests, mandates, deal flow, or related opportunities to Vanessa Ho for potential review and deal-match consideration, if such submission access is made available as part of the Program.

Any submission is subject to Vanessa Ho’s sole discretion. Vanessa Ho is under no obligation to review, pursue, verify, introduce, match, promote, disclose, present, or participate in any submitted opportunity, asset, buyer request, seller request, sourcing request, mandate, or deal flow.

Any potential access to Vanessa Ho’s UHNW network, contacts, buyers, sellers, brokers, advisors, principals, representatives, family offices, private opportunities, or deal sources is selective, discretionary, and not guaranteed. Access may be considered only where Vanessa Ho determines, in her sole discretion, that there may be a credible, appropriate, and aligned fit based on the opportunity, asset class, buyer/seller profile, mandate clarity, credibility, compliance requirements, relationship suitability, and any required deal-specific written agreements.

All submitted opportunities, sourcing requests, contacts, introductions, communications, and any resulting deal matches are confidential and protected by the NCNDA, non-circumvention, confidentiality, and deal-split obligations in this Agreement.

6. NCNDA, Non-Circumvention, Deal Protection, and Deal Split

All introductions, opportunities, contacts, buyers, sellers, brokers, advisors, principals, representatives, mandates, assets, deal information, communications, sourcing requests, submitted opportunities, reviewed opportunities, matched opportunities, and transactions shared, introduced, submitted, reviewed, discussed, matched, facilitated, or made available through Vanessa Ho, Vanessa Ho’s course, private messages, UHNW introductions, private channels, affiliated communities, or any part of Vanessa Ho’s UHNW network are confidential and protected.

Participants agree not to directly or indirectly circumvent, bypass, exclude, avoid, misappropriate, disclose, misuse, independently pursue, or interfere with Vanessa Ho or any protected participating connection, channel, introducer, broker, advisor, representative, or deal source involved in any protected introduction, opportunity, contact, sourcing request, submitted opportunity, reviewed opportunity, matched opportunity, or transaction.

This protection applies to all deals and opportunities that originate from, are submitted to, reviewed by, introduced through, discussed within, matched by, facilitated by, or are connected in any way to Vanessa Ho, Vanessa Ho’s course, UHNW introductions, private network, or any related communication channel, whether the deal closes directly or indirectly.

If any commission, buyer’s fee, seller’s fee, referral fee, finder’s fee, success fee, consulting fee, introduction fee, brokerage fee, advisory fee, or other economic benefit is generated from a protected introduction, opportunity, contact, buyer, seller, broker, principal, mandate, asset, sourcing request, submitted opportunity, reviewed opportunity, matched opportunity, or transaction, Vanessa Ho and all protected participating connections or channels who materially contributed to the introduction, sourcing, facilitation, buyer-side access, seller-side access, review, matching, or closing of the transaction must be fully disclosed, included, protected, and compensated.

Unless otherwise agreed in writing before closing, applicable compensation, including commissions and buyer’s fees, shall be split equally among Vanessa Ho and the protected participating connections or channels who materially contributed to the deal.

Participants may not use any information, contacts, introductions, buyer or seller details, asset details, pricing, mandates, documents, communications, sourcing requests, submitted opportunities, reviewed opportunities, matched opportunities, or opportunities obtained through Vanessa Ho, the course, private messages, UHNW introductions, or Vanessa Ho’s UHNW network to independently pursue, negotiate, redirect, close, monetize, or benefit from any transaction without including and compensating Vanessa Ho and all protected participating parties.

This protection applies regardless of whether the transaction is completed directly, indirectly, through an affiliate, company, associate, representative, family member, agent, nominee, broker, advisor, buyer, seller, principal, or other third party, and regardless of whether the transaction closes after the participant leaves the Program or Vanessa Ho’s network.

This NCNDA, non-circumvention, confidentiality, and deal-split obligation remains in effect for twenty-four (24) months from the date of the relevant introduction, disclosure, submission, review, communication, match, or opportunity, unless a longer period is agreed in writing.

All compensation arrangements, deal splits, commissions, buyer’s fees, finder’s fees, referral fees, brokerage fees, advisory fees, and transaction-related payments are subject to applicable laws, licensing requirements, compliance obligations, and written deal-specific agreements in the relevant jurisdiction and asset class. Nothing in this Agreement is intended to require, authorize, or encourage any unlawful commission split, brokerage activity, securities activity, real estate activity, investment solicitation, referral arrangement, or regulated transaction.

7. Deal-Specific Written Agreements

Before any participant may use, pursue, disclose, negotiate, monetize, close, or benefit from any protected introduction, opportunity, contact, buyer, seller, broker, advisor, principal, mandate, asset, sourcing request, submitted opportunity, reviewed opportunity, matched opportunity, or deal source connected to Vanessa Ho, Vanessa Ho’s network, the course, private messages, or any related channel, Vanessa Ho may require a separate written NCNDA, fee agreement, referral agreement, commission agreement, mandate, consulting agreement, or deal-specific agreement.

No commission, buyer’s fee, seller’s fee, finder’s fee, referral fee, success fee, advisory fee, consulting fee, brokerage fee, or deal split shall be considered waived unless expressly waived in writing by Vanessa Ho and any relevant protected participating parties.

If a deal requires licensed brokers, lawyers, advisors, escrow agents, compliance officers, regulated intermediaries, or other professionals, participants are responsible for ensuring that the appropriate licensed and qualified professionals are involved.

8. Deal Information and Participant Responsibility

Any deals, opportunities, buyers, sellers, assets, mandates, transaction information, proof of funds, ownership details, commission structures, sourcing requests, or related materials shared or submitted by participants are provided by those participants and are not guaranteed, verified, endorsed, or represented by Vanessa Ho unless expressly stated in writing.

Participants are solely responsible for conducting their own due diligence, verifying all parties, opportunities, documents, mandates, proof of funds, ownership, authority, legal requirements, licensing obligations, and transaction terms before taking any action.

Vanessa Ho does not guarantee the accuracy, legitimacy, availability, profitability, or completion of any deal, buyer, seller, asset, opportunity, sourcing request, introduction, match, or transaction connected to the Program.

9. No Broker, Fiduciary, Agency, or Advisory Relationship

Participation in the Program does not create a broker-client, agent-principal, fiduciary, legal, financial, investment advisory, partnership, joint venture, employment, or representative relationship between you and Vanessa Ho.

Any transaction-specific representation, brokerage, advisory, finder’s fee, commission-sharing, referral, success fee, consulting, or deal participation arrangement must be set out in a separate written agreement signed or expressly agreed to by the relevant parties.

Nothing in this Program is intended to authorize, require, or encourage any unlawful brokerage activity, securities activity, real estate activity, investment solicitation, commission split, referral fee, or regulated transaction.

Nothing in this section limits or waives Vanessa Ho’s rights to compensation, deal-split protection, non-circumvention protection, confidentiality protection, or any rights under the NCNDA, deal-specific written agreements, or other applicable agreements.

10. Testimonials & Media Release

By participating in the Program, you grant Vanessa Ho full rights to use any written, verbal, or visual testimonials, feedback, reviews, or comments you provide—whether shared directly or via social media, email, surveys, or community spaces—for promotional, advertising, and marketing purposes. You waive any right to approval, compensation, or notice for such use.

11. Intellectual Property Rights

All Program content and materials—including videos, audios, images, frameworks, templates, worksheets, and branding—are the sole intellectual property of Vanessa Ho.

You are granted a non-transferable, single-user license for personal use only.

You may not copy, share, distribute, reproduce, republish, resell, or exploit any part of the Program materials for business or commercial purposes without Vanessa Ho’s explicit, prior written permission.

Violation of this clause will result in legal action. You agree to pay $20,000 USD as liquidated damages for any unauthorized use or duplication of Program content. You will also be responsible for all legal fees and enforcement costs.

12. Confidentiality

You agree to maintain strict confidentiality around all private discussions, materials, coaching sessions, advisory communications, deal reviews, member information, and participant contributions within the Program. Sharing proprietary content or participant information with third parties is strictly prohibited.

Participants may not screenshot, record, download, copy, forward, publish, share, distribute, or disclose course materials, private messages, voice notes, member names, contact details, deal information, documents, opportunities, sourcing requests, submitted opportunities, reviewed opportunities, matched opportunities, or private discussions outside the Program without prior written permission.

13. Disclaimer & No Guarantees

This Program is for educational and informational purposes only. While it is designed to support your personal and/or business growth, Vanessa Ho does not guarantee any specific results—financial, personal, or otherwise, including introductions, deals, commissions, buyers, sellers, clients, funding, investment opportunities, deal matching, access to Vanessa Ho’s UHNW network, or transaction outcomes. Your outcomes depend entirely on your individual actions, commitment, and circumstances.

You agree that Vanessa Ho is not liable for any decisions, actions, transactions, losses, missed opportunities, failed deals, communications, disputes, or results you experience as a result of participating in this Program.

14. Modification of Format, Schedule, or Platform

Vanessa Ho reserves the right to modify the format, schedule, delivery method, platform, communication method, or structure of the Program, provided the overall nature of the purchased access remains substantially similar.

15. Termination & Removal

Vanessa Ho reserves the right to remove any Participant from the Program at her sole discretion, without refund, for violation of these Terms, including but not limited to:

• Non-payment or failed payment attempts

• Harassment or disruptive behavior

• Sharing copyrighted materials

• Breach of confidentiality or community guidelines

• Circumventing Vanessa Ho or any protected participating party

• Misrepresenting deals, buyers, sellers, mandates, authority, or credentials

• Unauthorized solicitation of members

• Stealing, replicating, or misusing Vanessa Ho’s intellectual property

Such actions will also be subject to legal enforcement as outlined in the Intellectual Property Rights, Confidentiality, and Non-Circumvention sections.

16. Non-Disparagement

You agree not to make any statements, publicly or privately, that could damage Vanessa Ho’s business, programs, or reputation, including but not limited to social media comments or online posts. This does not restrict you from expressing your opinions in a legal setting, such as arbitration or where disclosure is required by law.

17. Governing Law

These Terms & Conditions are governed by and construed in accordance with the laws of the state or country of residence of Vanessa Ho. Any disputes will be resolved through the appropriate courts in that jurisdiction.

18. Agreement & Consent

By making payment through the online checkout portal, you confirm that you have read, understood, and agreed to these Terms & Conditions. This constitutes a binding legal agreement between you and Vanessa Ho, even if no physical signature is provided.
